1. CORPORATE IDENTITY & LEGAL PREAMBLE

This website and its associated platforms are owned and operated by Yutiqaa Lifestyle Private Limited (“Yutiqaa”, “the Company”, “We”, “Us”, or “Our”), a company incorporated under the Companies Act, 2013, with Corporate Identity Number (CIN) U14101OD2025PTC051381. Our registered office is located at Plot No. EB-163, Badagada Brit Colony, Kalpana, Bhubaneswar, Odisha, India, 751018. Yutiqaa is a luxury lifestyle house dedicated to the manufacture, sourcing, and global distribution of premium Indian Handloom and Handicraft merchandise.

2. SCOPE OF APPLICABILITY

These Terms & Conditions (“Terms”) govern the use of all Yutiqaa digital and service platforms, including but not limited to:

• The website (https://www.google.com/search?q=www.yutiqaa.com);
• The Yutiqaa Consumer Mobile Application (available on iOS and Android);
• Social media commerce platforms (including Instagram, Facebook, Pinterest, and Twitter/X);
• Direct messaging commerce and third-party chat platforms (WhatsApp, Telegram);
• Exclusive Concierge Service and assisted-sales services.
  Any reference to the “Service” encompasses all aforementioned platforms.

3. ACCEPTANCE OF TERMS

By accessing, browsing, registering an account, or making a purchase through any Yutiqaa platform, you (“the User”, “Customer”, or “Patron”) acknowledge that you have read, understood, and agreed to be bound by these Terms. This constitutes a legally binding agreement. If you do not agree, you must immediately cease all use of our platforms.

4. ELIGIBILITY & LEGAL COMPLIANCE

You must be at least 18 years of age or the age of legal majority in your jurisdiction to use our services. By using this site, you represent that you possess the legal capacity to enter into a binding contract. Furthermore, you represent that you are not a resident of, or located in, any country subject to international trade sanctions. Users are encouraged to verify their status against the following lists:

5. USER ACCOUNTS & REGISTRATION

Access to certain features requires account registration. You agree to provide accurate, current, and complete information. Each account is for a single user only; multi-user access is prohibited unless expressly authorized for B2B entities.

6. ACCOUNT SECURITY & CONFIDENTIALITY

You are solely responsible for maintaining the confidentiality of your account credentials. Any activity occurring under your account is your legal responsibility. You must notify us immediately at care@yutiqaa.com of any unauthorized access.

7. RIGHT TO SUSPEND OR TERMINATE ACCOUNTS

Yutiqaa reserves the unilateral right to suspend or terminate any account, without prior notice or liability, for reasons including but not limited to: breach of these Terms, suspected fraudulent activity, or conduct detrimental to the reputation of the Brand or our Users.

8. PRODUCT DESCRIPTIONS & INFORMATION ACCURACY

We strive for the highest degree of accuracy; however, we do not warrant that product descriptions, pricing, or photographic and videographic representations are entirely error-free. In the event of a typographical, system, or pricing error, Yutiqaa reserves the right to:

1. Correct the information on all/relevant platforms;
2. Cancel the order and issue a full refund;
3. Offer the User the option to proceed with the transaction at the corrected price/description;
4. Issue store credit as a gesture of goodwill where applicable.

9. LUXURY HANDLOOM & HANDICRAFT AUTHENTICITY DISCLAIMER

Yutiqaa products are artisanal, handmade, and traditionally crafted. Variations in weave, dye, texture, and finish are inherent characteristics of the craft and do not constitute manufacturing defects. By purchasing, the User accepts these idiosyncrasies as the “Hallmark of Authenticity.”

10. CULTURAL & CRAFT VARIATION ACKNOWLEDGEMENT

Handloom and Handicraft items may feature slight differences in motif placement, color saturation (due to natural dyes), and hand-carved details. These elements are non-standardized and unique to each piece, reflecting the individual artisan’s touch.

11. PRICING & CURRENCY

Prices are subject to change without notice. Domestic orders are processed in INR. International prices may be displayed in USD, EUR, GBP, AED, or AUD based on the User’s IP address. Rounding rules may apply to currency conversions. For international markets, Yutiqaa employs a localized pricing strategy; consequently, prices displayed in foreign currencies (USD, EUR, GBP, AED, AUD, etc.) may differ from the INR conversion and are not merely a reflection of real-time exchange rates.

12. DELIVERED DUTY PAID (DDP) – GLOBAL ORDERS

For shipments to the USA, EU, UAE, and Australia, Yutiqaa operates primarily on a Delivered Duty Paid (DDP) basis for B2C transactions. While the checkout price is intended to be final, the User acknowledges that additional local administrative fees or specific regional levies may be required in exceptional regulatory circumstances.

13. GST & LOCAL TAX TREATMENT (INDIA)

All domestic sales within India are subject to Goods and Services Tax (GST) as per the prevailing rates for the relevant product and service categories. Tax-compliant invoices will be provided for every transaction.

14. PAYMENT TERMS

We accept authorized Credit/Debit cards, Net Banking, UPI (Unified Payments Interface), and approved Digital Wallets. Payments are processed via secure third-party gateways. Order fulfillment is contingent upon successful payment authorization.

15. HIGH-VALUE TRANSACTIONS, AML & KYC

To comply with Anti-Money Laundering (AML) laws and internal risk protocols, Yutiqaa may require Know Your Customer (KYC) documentation (such as Government ID or Tax Identification) for high-value luxury purchases or bulk B2B orders. Specific thresholds (e.g., transactions exceeding ₹2,00,000 in India or $2,500 USD internationally) may trigger mandatory verification before dispatch.

16. ORDER PLACEMENT & ACCEPTANCE

An order placement by the User constitutes an offer. Yutiqaa reserves the right to accept, reject, or cancel any order at its sole discretion for reasons including but not limited to stock unavailability, regional shipping restrictions, or suspicious activity.

17. CONTRACT OF SALE FORMATION

The legal contract of sale between Yutiqaa and the User is formed only when the product is dispatched from our warehouse and a dispatch confirmation is issued. The order confirmation email is merely an acknowledgement of receipt.

18. THE “LOOP-LOCK” SECURITY PROTOCOL

Each Yutiqaa product is shipped with a proprietary “Loop-Lock” Security Tag.

• Proof of Acceptance: The removal, cutting, or tampering of this tag constitutes the User’s final acceptance of the product.
• The Point of No Return: No returns or exchanges will be entertained once the Loop-Lock tag has been compromised.

19. SHIPPING & DISPATCH

Processing timelines vary by product category (e.g., ready-to-ship vs. made-to-order). Yutiqaa or our delivery/logistic partner will provide comprehensive delivery tracking information via email, SMS, or the App once the shipment is handed to our logistics partners.

20. DELIVERY TIMELINES & RISK OF LOSS

Estimated delivery windows vary by product category, geography, and selected shipping method (Standard vs. Expedited). To ensure maximum Patron trust for luxury goods, the Risk of Loss and title for the products remains with Yutiqaa and shall only pass to the User upon physical delivery and receipt of the goods at the specified address.

21. INTERNATIONAL SHIPPING LIMITATIONS

Yutiqaa is not liable for delays caused by foreign customs authorities, regulatory holds, or local labor disruptions in the destination country.

22. RETURNS, REFUNDS & CANCELLATIONS

Returns must be initiated within 7 (seven) days of delivery, strictly subject to the Loop-Lock protocol. Approved refunds will be processed back to the original payment source or issued as store credit only, at the Company’s discretion based on the nature of the return.

23. NON-RETURNABLE & BESPOKE PRODUCTS

Products that are customized, made-to-order, or categorized as delicate handicrafts are strictly non-returnable and non-exchangeable, except in cases of verifiable physical damage at the time of delivery.

24. “PHYSICAL DAMAGE OR INCORRECT ITEM” RETURN RULE

Claims for returns are valid only in the case of verifiable physical damage or the delivery of an incorrect/wrong item. Aesthetic variations, color tone differences (photo vs real), or “change of heart” do not qualify for a return of Handloom and Handicraft goods.

25. INTELLECTUAL PROPERTY OWNERSHIP

All intellectual property on Yutiqaa platforms—including the brand name, trademarks, textile motifs, loom designs, photographs, videos, and the backend data and data structures across all platforms (Website, Consumer App, Social Media, Marketplaces, etc.)—is the exclusive property of Yutiqaa Lifestyle Pvt. Ltd. Reproduction is strictly prohibited.

26. LIMITED LICENSE TO USE WEBSITE CONTENT

Users are granted a limited, non-exclusive, non-transferable license to access the website for personal, non-commercial use only.

27. USER-GENERATED CONTENT (UGC) RIGHTS

By tagging @Yutiqaa or posting reviews/images on our platforms, you grant us a non-exclusive, royalty-free, perpetual license to use, modify, and display such content for marketing purposes.

28. PROHIBITED USES & ACTIVITIES

Prohibited activities include: hacking, scraping, data mining, introducing viruses, fraudulent transactions, or harassing users. Any User found engaging in such activities will face immediate account termination, a permanent ban from Yutiqaa platforms, and potential legal action under the IT Act, 2000, and relevant international criminal codes.

29. BRAND PROTECTION & DEFAMATION CLAUSE

Users shall not make false, malicious, or disparaging claims regarding the Company’s products or artisans. Yutiqaa reserves the right to seek injunctive relief and damages against any individual or entity found guilty of reputational harm or brand defamation.

30. THIRD-PARTY LINKS & INTEGRATIONS

Yutiqaa is not responsible for the content or practices of third-party services integrated into our site (e.g., payment gateways or external logistics tracking).

31. SOCIAL MEDIA & CONCIERGE SALES FRAMEWORK

Orders placed via any social platform (including Instagram, WhatsApp, Facebook, Pinterest, or Twitter/X etc.) or Concierge calls are legally binding contracts. Payment for such orders constitutes absolute acceptance of these Terms.

32. THIRD-PARTY MARKETPLACE SALES

Yutiqaa products may be available for purchase through third-party marketplaces (e.g., Amazon, Tata CLiQ, Etsy).

• Precedence of Terms: For transactions occurring on such platforms, the marketplace’s terms of service, return policies, and dispute resolution mechanisms shall take precedence over these Master Terms.
• Brand Warranty: Our guarantees regarding Handloom and Handicraft authenticity (Clauses 9 & 10) remain applicable to all genuine Yutiqaa products regardless of the point of sale.

33. FORCE MAJEURE

Yutiqaa shall not be liable for any failure to perform its obligations due to events beyond its reasonable control, including natural disasters, pandemics, strikes, or sudden disruptions in artisan weaving clusters.

34. B2B & CORPORATE SALES ADDENDUM

Bulk orders are subject to separate Minimum Order Quantities (MOQs). The “Return for Physical Damage or Wrong Item Only” rule applies strictly to B2B transactions.

35. INDEMNIFICATION

You agree to indemnify and hold harmless Yutiqaa Lifestyle Pvt. Ltd., its directors, and any employee from any claims, losses, or legal fees resulting from your breach of these Terms or misuse of the platform.

36. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by law, Yutiqaa provides its services and products on an “As-Is” and “As-Available” basis without any warranties, express or implied.

37. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Yutiqaa’s total liability for any claim shall be capped at the actual amount paid by the User for the product in question.

38. EXCLUSION OF INDIRECT & CONSEQUENTIAL DAMAGES

Yutiqaa shall not be liable for any indirect, incidental, or consequential damages, including loss of profit or business interruption.

39. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

40. DISPUTE RESOLUTION & ARBITRATION

Any dispute arising out of these Terms shall be settled through mandatory and exclusive arbitration. The seat and venue of arbitration shall be Bhubaneswar, Odisha, India. The proceedings shall be conducted in English under the Arbitration and Conciliation Act, 1996.

41. SEVERABILITY

If any provision of these Terms is found to be invalid, the remaining provisions shall remain in full force and effect.

42. WAIVER

Failure to enforce any right or provision will not be deemed a waiver of such right.

43. ASSIGNMENT

Yutiqaa may assign its rights and obligations under these Terms to a third party in the event of a merger, acquisition, or restructuring.

44. CHANGES TO TERMS & CONDITIONS

We reserve the right to modify these Terms. Users will be notified of material changes via email or a prominent notification banner upon the first login following the update. Continued use of the platform constitutes acceptance of the updated Terms.

JURISDICTION-SPECIFIC ANNEXURES

ANNEXURE A — INDIA

• Consumer Protection: These Terms comply with the Consumer Protection (E-Commerce) Rules, 2020.
• Electronic Contracts: This document is an electronic record under the IT Act, 2000, and does not require a physical signature.
• Taxation: GST invoices are issued from the state of Odisha.
• Arbitration: All disputes are subject to the Arbitration and Conciliation Act, 1996, with the seat in Bhubaneswar.
• Grievance Redressal: Mandatory disclosure of the Grievance Officer (Abhishek Mohanty) as per Rule 4 of the E-commerce Rules.

ANNEXURE B — EUROPEAN UNION & UK

• Consumer Rights: In accordance with the EU Consumer Rights Directive, the 14-day cooling-off period is waived for products that are “clearly personalized” or “hand-crafted” items which are not suitable for return due to their delicate nature and protection of hygiene/health, once the Loop-Lock tag is removed.
• Statutory Rights: This agreement does not reduce or exclude any non-waivable statutory consumer rights applicable in your member state.
• GDPR: Data processing is governed by our Privacy Policy in compliance with the General Data Protection Regulation.

ANNEXURE C — UNITED STATES

• Sales Framing: Transactions are framed under UCC Article 2.
• Warranty: The “As-Is” disclaimer is intended to exclude all implied warranties of merchantability and fitness for a particular purpose to the fullest extent permitted by state law.
• Class Action Waiver: You agree that any dispute resolution will be conducted on an individual basis and not in a class or representative action.
• FTC Compliance: This site aligns with FTC Truth-in-Advertising guidelines; product variations are disclosed as a material characteristic of the goods.

ANNEXURE D — UAE

• E-commerce Law: This contract is recognized under Federal Decree-Law No. 14 of 2023 on Trade through Modern Technological Means.
• COD Liability: Yutiqaa assumes no liability for Cash-on-Delivery (COD) failures post-dispatch; the contract is governing law under Indian jurisdiction.
• Delivery: Upon dispatch, Yutiqaa is absolved of liability for local courier delays within the Emirates.

ANNEXURE E — AUSTRALIA

• ACL Compliance: Nothing in these Terms excludes, restricts, or modifies any consumer guarantee under the Australian Consumer Law (ACL).

Remedies: Where a product fails a consumer guarantee, your rights to a refund or replacement are protected as per the ACL thresholds for “major” vs “minor” failures.
